These terms are a working draft. They are not legally binding in their current form and may be revised before final publication. Customers who engage with Veiled Origin before final publication will be notified of and given an opportunity to review the finalized terms. For questions, contact [email protected].
These Terms of Service ("Terms") are a legal agreement between you ("Customer," "you") and Veiled Origin LLC, a Texas limited liability company ("Veiled Origin," "we," "us"), governing your access to and use of our software products and services, including the PI Bytez browser extension, PI Bytez Excel Add-in, PI Kneader, any other products we release, and any consulting or professional services (collectively, the "Services").
By installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2.1 Paid products. Subject to these Terms and your payment of applicable fees, Veiled Origin grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the paid Services (PI Bytez Excel Add-in, PI Kneader) on a per-seat basis for your internal business purposes during the subscription term.
2.2 Free products. The PI Bytez browser extension is provided free of charge under a non-exclusive, non-transferable license for your personal or internal business use. No payment is required.
2.3 Scope. "Seat" means one named individual user. A single seat license permits installation on up to two machines for that same user. Site licenses, where offered, permit unlimited installations within a single physical facility.
You may not: (a) reverse engineer, decompile, or disassemble the Services except to the extent expressly permitted by applicable law; (b) rent, lease, sell, sublicense, or redistribute the Services or any component thereof; (c) remove or alter any proprietary notices or labels; (d) use the Services to develop a competing product; (e) use the Services to process data belonging to a third party without that third party's authorization.
4.1 Fees. Subscription fees are set forth on our pricing page (/pricing) or in a separately executed order form. Fees are due annually in advance unless otherwise agreed.
4.2 Payment. Payment is due upon invoice. We accept credit card (via Stripe), ACH, wire transfer (for orders over $5,000), and check (US/Canada only, net-30 terms with valid PO).
4.3 Refunds. Refund policy under review — contact us within 30 days of purchase for case-by-case consideration.
4.4 Taxes. Fees are exclusive of applicable sales, use, VAT, GST, or similar taxes, which are your responsibility.
5.1 Veiled Origin ownership. Veiled Origin retains all right, title, and interest in and to the Services, including all software, documentation, trademarks (including "Veiled Origin," "PI Bytez," and "PI Kneader"), copyrights, patents, trade secrets, and other intellectual property rights. These Terms do not transfer any ownership to you.
5.2 Feedback. If you provide feedback, suggestions, or improvement ideas to Veiled Origin regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose.
6.1 Local processing. The Services are designed to process data locally on your machine. Veiled Origin does not receive, store, or transmit your tag data, calculation expressions, display metadata, or any other content you process with the Services. See our Privacy Policy for details.
6.2 Your responsibility. You are solely responsible for the lawfulness of your use of the Services, including compliance with your employer's or customer's data governance policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. Veiled Origin does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Customer acknowledges that the Services interact with third-party software (including Microsoft Excel, Microsoft Edge, and AVEVA PI System products) and that Veiled Origin has no control over the behavior, availability, or correctness of those third-party products.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEILED ORIGIN'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VEILED ORIGIN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL VEILED ORIGIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if any limited remedy fails of its essential purpose.
You agree to indemnify and hold harmless Veiled Origin, its officers, members, and employees from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services in violation of these Terms or applicable law.
10.1 Term. Paid subscriptions begin on the date of purchase and continue for the subscription period purchased (typically one year), renewing automatically for successive terms unless cancelled.
10.2 Termination for convenience. You may cancel at any time. Cancellation takes effect at the end of the current subscription period; no refund is provided for the remaining term unless separately agreed.
10.3 Termination for cause. Either party may terminate these Terms immediately upon written notice if the other party materially breaches and fails to cure within 30 days of notice.
10.4 Effect of termination. Upon termination, your license to use the paid Services ends. Previously generated reports, workbooks, and exports remain yours to use. The free browser extension may continue to operate.
Services designated as "beta," "preview," or "pre-release" (including PI Bytez while in beta and PI Kneader prior to v1.0) are provided for evaluation purposes. Beta Services may be modified or discontinued at Veiled Origin's sole discretion. Warranty and service-level commitments do not apply to Beta Services.
Veiled Origin may update these Terms from time to time. Material changes will be posted at veiledorigin.com/terms and, for paid subscribers, emailed at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Comal County, Texas, and the parties consent to the jurisdiction and venue of those courts.
These Terms, together with the Privacy Policy and any executed order form, constitute the entire agreement between you and Veiled Origin regarding the Services and supersede all prior agreements and understandings on the subject.
